Terms of Service

The rules of the road for using Dusken, written in plain English wherever the law lets us.

These Terms of Service (the "Terms") are a binding agreement between you and Dusken ("Dusken", "we", "us", or "our"), operated by Salman Khan, a sole proprietor based in India (contact: [email protected]). By creating an account, accessing the website at dusken.io, or using the Dusken application or APIs (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

1. The Service

Dusken is a cloud-based review and approval platform for creative work. It lets you upload media (video, images, audio, PDFs and similar files), leave timestamped and pinned annotations, invite collaborators and external reviewers, organize work into folders and projects, and finalize versions.

We may add, change, or remove features at any time. The Service evolves and what is available today may not be available tomorrow.

2. Eligibility and Export Controls

You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to use the Service. The Service is not directed to children under 13, and we do not knowingly collect data from them.

You represent and warrant that (a) you are not located in, and are not a national or resident of, any country that is subject to a comprehensive embargo by the United States, the European Union, the United Kingdom, or India; (b) you are not listed on any US OFAC Specially Designated Nationals list, the EU Consolidated Sanctions list, the UK Sanctions list, or any equivalent restricted-party list; and (c) you will not use the Service in violation of any applicable export-control, sanctions, or anti-money-laundering laws.

3. Accounts and Workspaces

To use most of the Service you must create an account. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.

Workspaces let you collaborate with teammates and invite external reviewers. The workspace owner is responsible for managing members, billing, and ensuring that everyone in the workspace complies with these Terms.

External reviewers (guests invited through a share link) are bound by these Terms when they access the Service, even if they do not register an account.

4. Plans, Subscriptions, and Billing

Paid plans are available on a subscription basis. Pricing, included usage limits (such as storage, seats, projects, or upload volume), and feature tiers are described on dusken.io/pricing and in the in-app billing settings. We may update pricing from time to time; changes apply to renewals after the current billing period.

Currency and statement descriptor

Prices are quoted in United States Dollars (USD) unless a different currency is shown at checkout. Charges from Dusken appear on your card or bank statement as "DUSKEN" or "DUSKEN.IO". Conversion fees and foreign-transaction fees, if any, are set by your card issuer or bank and are your responsibility.

Payment processor

Payments are processed by Stripe, Inc. and its affiliates ("Stripe"). When you subscribe, you authorize Stripe to charge your chosen payment method on a recurring basis (monthly or annually, depending on the plan you select), including any applicable taxes, until you cancel. Your payment details are handled and stored by Stripe; we do not store full card numbers on our servers. Your use of the payment method is also subject to the rules of the card network that issued it (for example, Visa, Mastercard, American Express, or RuPay) and to Stripe's Services Agreement and Privacy Policy: https://stripe.com/legal and https://stripe.com/privacy

Auto-renewal

Subscriptions automatically renew at the end of each billing period at the then-current price for that plan, unless you cancel before the renewal date. You can cancel any time from the billing settings; the cancellation takes effect at the end of the current billing period and you retain access until then.

Taxes

Prices are shown exclusive of taxes unless stated otherwise. You are responsible for any taxes, duties, or government charges (other than taxes on our net income) imposed on your purchase, including Indian GST or non-resident equivalents where applicable.

Free trial

If we offer a free trial, the trial length and the plan it converts to are clearly shown before you provide a payment method. Where a payment method is collected for a trial, your card is not charged during the trial. If you do not cancel before the trial ends, your subscription begins automatically on the plan you selected and your payment method is charged on the day the trial ends, then on each renewal date afterward. You can cancel any time before the trial ends from billing settings.

5. Cancellation and Refunds

You can cancel your subscription at any time from billing settings. Cancellation stops future renewals; you keep access to paid features through the end of the period you have already paid for.

Refunds are handled on a case-by-case basis. If you believe you have been charged in error, were unable to use the Service due to a defect, or have any other concern, write to us at [email protected] and we will review your situation in good faith. We are not obligated to issue refunds for unused time, downgrade credits, or partial periods.

Chargebacks initiated without first contacting us are considered a breach of these Terms and may result in immediate suspension of your account.

6. Your Content

You retain all rights to the media, comments, annotations, and other materials you upload to, create in, or transmit through the Service ("Your Content"). We do not claim ownership of Your Content.

You grant Dusken a worldwide, non-exclusive, royalty-free license to host, store, transcode, encrypt, transmit, display, transcribe (for audio), and otherwise process Your Content solely for the purpose of operating and improving the Service for you and the collaborators you authorize. This license ends when you delete Your Content or close your account, except as needed for backups or to comply with legal obligations.

You are responsible for making sure you have the rights to upload Your Content and to share it with anyone you invite to the workspace. Do not upload material you do not have permission to use.

We do not use Your Content (including media, audio, transcripts, comments, or annotations) to train machine-learning models for ourselves or for any third party.

7. Acceptable Use

You agree that you will not, and will not allow anyone you invite or authorize to, use the Service to:

  • Upload, host, share, or solicit child sexual abuse material (CSAM) or any content that sexualizes a minor in any way. We have zero tolerance; we will remove such content immediately, terminate the offending account, preserve relevant data, and report it to the National Center for Missing & Exploited Children (NCMEC) and to law enforcement as required by law.
  • Upload, host, or share content that is unlawful, defamatory, harassing, hateful, threatening, fraudulent, non-consensual intimate imagery, or that depicts gratuitous violence.
  • Violate any applicable law or regulation, or any third-party right (including intellectual property, privacy, publicity, or trade-secret rights).
  • Distribute malware, spyware, ransomware, or any code intended to disrupt, damage, or gain unauthorized access to systems or data.
  • Attempt to probe, scan, reverse-engineer, decompile, or circumvent the security, authentication, or rate limits of the Service, except to the extent permitted by mandatory law.
  • Use the Service to send spam, phishing, or other unsolicited bulk communications.
  • Resell, sublicense, white-label, or operate the Service as a service bureau for third parties without our written permission.
  • Use the Service to build a competing product or to scrape, mirror, or harvest its content or interface.
  • Use automated systems to upload content in volumes that materially exceed normal human use without our prior written agreement.
  • Use the Service in any business category that is restricted by Stripe (https://stripe.com/legal/restricted-businesses) or any other payment processor we use.

We may suspend or terminate accounts that violate these rules, remove content that we reasonably believe violates them or applicable law, and cooperate with law enforcement when required. We maintain a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.

8. Third-Party Services

The Service uses third-party providers to deliver its functionality (for example, payment processing, file storage, video streaming, audio transcription, transactional email, and authentication providers you choose to connect). A current list and the categories of data shared with each is available in our Privacy Policy. Your use of those underlying services is also subject to their respective terms.

If you connect a third-party service through Dusken (such as signing in with Google or GitHub), you authorize us to access and use information from that service as needed to provide the integration, subject to that service's terms.

9. Our Intellectual Property

The Dusken software, website, branding, logos, and the look and feel of the product are owned by us or our licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

Feedback and suggestions you send us are not confidential; we may use them without obligation or compensation.

11. Confidentiality

Each party will treat the other's non-public business and technical information ("Confidential Information") with at least the same care it uses for its own confidential information, and only use it as needed to perform under these Terms. This obligation does not cover information that becomes public without breach, was already known, was independently developed, or that must be disclosed by law.

12. Term and Termination

These Terms remain in effect as long as you use the Service. You may stop using the Service at any time and may delete your account from settings.

We may suspend or terminate your access at any time, with or without notice, if you breach these Terms, fail to pay, create legal or security risk for us or other users, or if we reasonably believe doing so is required by law.

You are responsible for keeping your own copies of anything important. After your account is terminated or deleted we may permanently remove Your Content at any time, without any obligation to retain it or to provide a copy. Sections that by their nature should survive termination (including ownership, disclaimers, liability limits, indemnification, governing law, and dispute resolution) will survive.

13. Disclaimers and Beta Features

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Dusken disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or that any data will not be lost or corrupted. You are responsible for keeping independent backups of any material you rely on.

Features labeled "beta", "early access", "preview", or similar are provided for evaluation only, may change, break, or be removed without notice, are not covered by any service-level commitment, and may have lower reliability than the rest of the Service. Do not rely on beta features for production-critical work.

14. Limitation of Liability

To the maximum extent permitted by law, Dusken and its owner will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or in connection with these Terms or the Service, whether in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or in connection with these Terms or the Service in any 12-month period will not exceed the greater of (a) the amount you actually paid to Dusken for the Service in that period, or (b) one hundred US dollars (US$100).

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability; in those jurisdictions the limitations above apply to the fullest extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless Dusken and its owner, employees, and contractors from any claim, damage, loss, liability, cost, or expense (including reasonable legal fees) arising out of (a) Your Content, (b) your use of the Service in breach of these Terms, or (c) your violation of any law or third-party right.

16. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to the next paragraph, the courts at the registered location of Dusken's owner in India will have exclusive jurisdiction over any dispute arising from or related to these Terms or the Service.

Before filing any formal claim, you agree to first contact us at [email protected] and attempt to resolve the issue informally for at least 30 days. Nothing in this section prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction.

17. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. It is your responsibility to review these Terms periodically. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to a change, stop using the Service.

18. General

These Terms, together with our Privacy Policy and any order forms or in-product agreements, are the entire agreement between you and Dusken regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us should be sent to [email protected]; notices to you may be sent to the email associated with your account or shown in the product.
